Smartsheet is seeking a talented Corporate Counsel to join its collaborative legal team. Duties and Responsibilities:

  • Negotiate, draft, and review commercial agreements in support of Smartsheet’s sales motion, including agreements concerning online subscription software, data privacy and processing, intellectual property use, and professional services.

  • Provide strategic and practical legal advice to teams globally across the company, including sales and procurement.

  • Help support or manage a software channel partner program, including drafting, negotiating, and advising on reseller agreements, partner onboarding documentation, and compliance with channel policies.

  • Collaborate with all members of the Legal team across office locations, including attorney and non-attorney personnel.

  • Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents.

  • Deliver training and guidance to employees on legal issues, best practices, and company policies.

  • Support general business operations by responding to requests for assistance from across the company as needed.

  • Complete special projects as requested.

Requirements:

  • 5+ years of relevant legal experience, preferably in-house at a cloud software company.

  • 3+ years of experience drafting and negotiating technology contracts such as software licenses, software-as-a-service (SaaS) agreements, software development agreements, and professional services agreements.

  • JD from an accredited law school and an active member of a state bar.

  • AI first mentality, with the ability to revise and leverage AI output into final work product.

  • Experience advising business teams on a variety of issues relevant to commercial contracts including working directly with sales representatives on issues relevant to customer contracts.

  • Ability to analyze problems and recommend practical solutions that balance legal and business risks.

Job Summary

The Ad Council is a non-profit organization that develops, executes and distributes public service announcements and communications strategies for over 40 campaigns each year. Our Legal team is seeking an Attorney (Contract Employee) to support our portfolio of public service campaigns. This role will report to the Chief Legal Officer (CLO) and partner closely with cross-functional teams across Campaign & Programs, Marketing and Communications, Insights and Analytics, Finance, Media, Strategic Partnerships and External Engagement, and People Operations.

In this role, you’ll provide day-to-day legal support across a range of campaign and operational needs—from contract negotiation to advising on compliance, advertising practices, and risk mitigation. The work is dynamic and fast-moving, and success requires strong judgment, clear communication with non-legal stakeholders, and the ability to manage multiple priorities with attention to detail.

Compensation and Length of Engagement

This is a contract employee role. This means that, while the position is at all times one of “at will employment”, the Ad Council anticipates at present that the employment length would be approximately 6 months with the possibility to extend the contract. Depending on experience, the compensation for this position is $10,000 monthly, paid semi-monthly. Contract employees will be eligible to participate in limited benefits and paid time off. We are also open to this role being a fully remote position.

What you’ll do

  • Draft, review, negotiate, and revise a wide range of agreements, including master services agreements, statements of work, amendments, insertion orders, vendor and technology agreements, agency and production agreements, and third-party licensing agreements
  • Support government-funded and government-adjacent initiatives, including interpreting contractual and regulatory requirements and updating downstream vendor and production agreements as scopes evolve
  • Identify, assess, and escalate legal and compliance risks, and provide practical, business-oriented guidance to support compliant execution
  • Provide day-to-day legal guidance to cross-functional teams on contracting, approvals, and compliance considerations as campaigns and partnerships evolve

Key Experience Areas

Candidates must have strong experience in at least two of the following areas:

  • Production and Talent: Drafting and advising on production and talent agreements, including performer releases, influencer agreements, and union/non-union talent arrangements (e.g., SAG-AFTRA)

Our CEO, Stephan Fabel, is the former Senior Director of DGX Cloud at NVIDIA. We have a real estate subsidiary, RELLIS DC Real Estate Co., executing a ground lease at the Texas A&M RELLIS campus in the College Station/Bryan area. We are entering complex enterprise, institutional, and government partnerships — and we need a sharp legal mind to help us build the function that supports it all.

The Role

This is a ground-floor opportunity. We don’t have a legal department — we’re building one, and you’ll be building it with us. As our first Internal Legal Counsel, you will be a strategic partner to the CEO and executive team, not just a contract reviewer. You will sit at the table for the deals that matter — data center ground leases, AI platform enterprise agreements, TAMU and state entity partnerships, vendor relationships, and everything in between.

This role exists to help ThisWay Global navigate legal, compliance, and operational risk as the business scales across AI, HPC, software, infrastructure, and public-sector partnerships. You will own the legal function end-to-end: drafting, negotiating, advising, and evolving our legal infrastructure as the business scales. Success looks like practical legal guidance, strong risk visibility, scalable processes, and a business team that can move quickly with confidence.

This role is expected to evolve into a broader executive leadership function focused on enterprise risk, governance, compliance, and legal strategy. Responsibilities

  • Serve as a trusted advisor to the CEO and leadership team; participate in strategic planning, deal structuring, and business development conversations.

Our CEO, Stephan Fabel, is the former Senior Director of DGX Cloud at NVIDIA. We have a real estate subsidiary, RELLIS DC Real Estate Co., executing a ground lease at the Texas A&M RELLIS campus in the College Station/Bryan area. We are entering complex enterprise, institutional, and government partnerships — and we need a sharp legal mind to help us build the function that supports it all.

The Role

This is a ground-floor opportunity. We don’t have a legal department — we’re building one, and you’ll be building it with us. As our first Internal Legal Counsel, you will be a strategic partner to the CEO and executive team, not just a contract reviewer. You will sit at the table for the deals that matter — data center ground leases, AI platform enterprise agreements, TAMU and state entity partnerships, vendor relationships, and everything in between.

This role exists to help ThisWay Global navigate legal, compliance, and operational risk as the business scales across AI, HPC, software, infrastructure, and public-sector partnerships. You will own the legal function end-to-end: drafting, negotiating, advising, and evolving our legal infrastructure as the business scales. Success looks like practical legal guidance, strong risk visibility, scalable processes, and a business team that can move quickly with confidence.

This role is expected to evolve into a broader executive leadership function focused on enterprise risk, governance, compliance, and legal strategy. Responsibilities

  • Serve as a trusted advisor to the CEO and leadership team; participate in strategic planning, deal structuring, and business development conversations.

  • Provide practical legal guidance across commercial, operational, and organizational matters; support leadership in balancing risk, speed, and business objectives.

  • Help build scalable legal and governance processes as the organization grows.

  • Own the end-to-end lifecycle of commercial contracts, including enterprise SaaS agreements, data center services agreements, vendor contracts, NDAs, subcontractor agreements, and custom deal structures.

  • Identify legal and operational risks within complex commercial relationships.

  • Support evolving partnerships across AI, infrastructure, software, and public-sector initiatives.

  • Support and lead legal work on ground leases, commercial leases, land acquisition, title review, easements, and real estate transactions tied to data center site development, including our RELLIS campus work.

  • Help evaluate legal and compliance implications of AI and software deployments; coordinate with technical and operational teams on evolving risk areas.

  • Establish scalable legal processes, document templates, external counsel relationships, and internal policies; build the function from scratch.

  • Understand our products well enough to translate AI, data center, and cloud infrastructure concepts into precise legal language.

  • Help shape a proactive approach to enterprise risk management; identify areas where legal structure, process, or policy can reduce operational exposure.

  • Active Texas Bar License; must be licensed and in good standing to practice law in Texas.

About your role

Juniper Square is seeking a hands-on AML Assistant Manager to support the daily execution and operational oversight of our Anti-Money Laundering compliance program. We are recruiting for a Senior Compliance Associate to support compliance activities across both a Crypto-Asset Service Provider (CASP) and an Electronic Money Institution (EMI), playing a key role within the European-focused Compliance team.

This role is suited to a self-starter who is comfortable operating as a strategic partner to the business, with the capability to scale a robust compliance framework in a fast-moving environment.

You will report to EU Compliance leadership and work closely with global stakeholders (Operations, Product, Engineering, Finance, Risk) and Kraken’s broader Compliance teams.

  • Own and deliver BAU compliance support across IE-regulated entities, including activities subject to CASP and EMI requirements, and relevant conduct and market integrity considerations

THE OPPORTUNITY

We are hiring a Capital Markets & Corporate Governance VP for our Global Legal team in the US!

This position can work from our NYC office or remotely based in New York, New Jersey, Connecticut, Pennsylvania, Massachusetts, North Carolina, Georgia, Florida, Missouri, New Hampshire, Kentucky, Texas, Illinois, California, Colorado, Utah, or Washington.

As a Capital Markets & Corporate Governance VP, you will serve as the primary legal architect and strategic advisor for Wellhub’s corporate financing, securities compliance, and public market readiness initiatives. Reporting to the Chief Legal Officer, you will operate with a high degree of autonomy, owning the legal frameworks for complex capital transactions and shaping our global corporate governance structure. This is a critical leadership role designed for a seasoned expert who can seamlessly bridge the gap between complex U.S. securities laws and Wellhub’s hyper-growth business goals.

YOUR IMPACT

  • Architect and execute the overarching legal strategy for all capital markets transactions, including equity offerings, debt issuances, private placements, and public market/IPO readiness.
  • Hold ultimate accountability for the timely preparation, accuracy, and filing of all SEC regulatory submissions, including registration statements (e.g., Form S-1), prospectuses, and subsequent periodic reports (10-K, 10-Q, 8-K), ensuring seamless alignment with the SEC Reporting and Accounting teams.
  • Direct corporate governance frameworks at a master level, establishing boardroom policies, managing Board of Directors and Committee materials, and advising on shareholder relations and compliance protocols.
  • Act as a trusted advisor to the Chief Legal Officer and Executive Team, providing authoritative, independent legal counsel on the structural mechanics, risks, and regulatory implications of strategic financial initiatives.
  • Collaborate with the CLO, CFO, CEO, and external advisors on IPO planning and execution
  • Own the strategic management of top-tier external law firms and underwriters’ counsel, driving execution, accountability, and cost-effective legal spending.
  • Ensure airtight compliance with U.S. federal securities laws, SEC regulations, and stock exchange listing standards (NYSE/NASDAQ) globally.
  • Design and implement institutional controls regarding insider trading, investor relations communications, and public market disclosures.
  • Provide executive oversight and strategic direction with the broader Global Legal leadership team on cross-border corporate governance and ad-hoc strategic initiatives.

WHO YOU ARE

  • An accomplished corporate attorney with a Juris Doctor (J.D.) degree from an accredited law school and an active license to practice law in good standing in the United States.
  • You possess 12+ years of progressive, high-level corporate finance and securities law experience, split between a top-tier major law firm and an in-house public company (or public-readiness tech environment).
  • An independent leader who has successfully steered high-growth companies through the legal lifecycles of an IPO process, follow-on equity offerings, or sophisticated debt issuances.
  • An absolute subject matter expert in SEC rules, corporate disclosure requirements, U.S. GAAP reporting interactions, and modern corporate governance frameworks.
  • A highly commanding communicator who can distill dense, complex regulatory regimes into clear, strategic business advice for Board members and C-level executives.
  • An autonomous operator with a proven track record of managing multi-million dollar legal transactions from inception to close with minimal supervision.
  • A dedicated team player who works effectively across matrixed, multinational functions and displays an entrepreneurial mindset toward solving legal hurdles.
  • A skilled leverager of AI tools to scale and transform the legal function.

In New York, California, Colorado, Massachusetts, and Washington, the annual base salary range for this role is $256,128 - $300,000. The base salary range for other locations may vary. Actual base salary will be dependent on geographic location, relevant experience, skills, qualifications and/or other job-related factors. In addition to base salary, this role is eligible to participate in either our annual bonus plan or a sales incentive plan, and our performance-based stock option program.

Our Global Sanctions Compliance function sits at the intersection of regulatory accountability and technology, building processes that don’t just meet the standard but set it. We’re looking for people who bring both sharp regulatory judgment and a builder’s mindset to the table.

We’re looking for a Sr. Compliance Associate, Sanctions Regulatory Reporting to join us fully remote in the US. This role reports directly to Kraken’s Chief Sanctions Officer and sits at the heart of how we manage, improve and scale our sanctions reporting programme globally. You won’t just be executing a filing process. You’ll be actively improving it, driving automation across the end-to-end workflow and partnering with engineering and AI teams to build something more scalable and regulator-ready.

The opportunity

  • Own the preparation, quality control and timely submission of all outbound sanctions regulatory reports, including OFAC reports, the OFAC Annual Report of Blocked Property and reporting obligations across Payward’s international jurisdictions.

  • Maintain a filing calendar and proactively escalate risks of late or incomplete submissions to sanctions leadership, applying rigorous human oversight before every regulatory submission.

  • Identify and drive automation opportunities across the sanctions reporting workflow, from alert ingestion and case creation to report generation and filing tracker updates.

  • Work with AI and engineering teams to scope and test connectors between sanctions tooling and downstream reporting systems, using AI-assisted platforms including Claude to accelerate template drafting, narrative generation and QC workflows.

  • Partner with Regional Compliance Officers across non-US jurisdictions to solicit and incorporate local regulatory feedback, ensuring regional perspectives are integrated while maintaining sanctions programme integrity.

  • Serve as a trained backup for sanctions investigations and account closure decisions, supporting caseload surges and ensuring timely resolution to minimise regulatory exposure and client impact.

  • Document current-state processes and propose improvements that reduce manual effort without compromising regulatory accuracy or accountability.

Skills you should HODL

  • 3+ years of experience in sanctions compliance, regulatory reporting or a related financial crimes compliance function, ideally gained within financial services such as banking, crypto or fintech.

  • Working knowledge of OFAC regulations, SDN list screening and sanctions regulatory reporting obligations.

  • Hands-on experience using automation and AI tools, such as Claude or ChatGPT, to make the team faster and the work better.

  • Experience working with APIs, workflow connectors and case management systems such as Hummingbird, Zendesk or equivalent.

  • Strong attention to detail with demonstrated experience in QC or review processes involving regulatory deliverables.

  • Ability to interpret regulatory guidance and apply it to real-world filing and reporting scenarios.

  • Strong written communication skills with experience drafting or reviewing compliance reports.

  • Ability to manage multiple concurrent filing deadlines with a high degree of accuracy.

  • High degree of integrity, discretion and ability to handle confidential and sensitive information.

  • A bachelor’s degree or equivalent practical experience.

Nice to haves

  • CAMS certification or equivalent.

  • Familiarity with UK and other non-US sanctions regimes.

  • Experience reviewing sanctions enforcement actions and translating regulatory expectations into operational controls.

  • Working knowledge of blockchain technology and cryptocurrency ecosystems.

  • Experience supporting regulatory exams, audits or enforcement-related inquiries.

  • Familiarity with cross-border regulatory reporting across multiple jurisdictions.
